What Offtime Does
Offtime is a distributed computing marketplace.
People can submit computing workloads to Offtime (“Renters”), while other people can make computing resources available to the network (“Providers”).
Offtime coordinates the submission, scheduling, execution, and delivery of workloads between participants.
Offtime does not guarantee that a particular workload will always be assigned to a particular device, completed within a particular amount of time, or produce a particular result.
Eligibility
You must be at least 18 years old to use Offtime.
By using Offtime, you represent that you are legally able to enter into these Terms.
Your Account
You are responsible for maintaining the security of your account and for all activity that occurs through it.
You agree to provide accurate information and to keep your account information reasonably up to date.
You may not:
- impersonate another person;
- create an account using false information;
- share your account credentials with others;
- attempt to access another user's account; or
- use Offtime to circumvent security or access controls.
Using Offtime as a Renter
Renters may submit supported workloads through Offtime.
You are responsible for:
- the data you submit;
- having the necessary rights and permissions to process that data;
- ensuring your workloads comply with applicable laws;
- reviewing the results returned by Offtime before relying on them; and
- paying applicable charges associated with your workloads.
You must not submit workloads that:
- violate applicable laws or regulations;
- infringe another person's intellectual property or privacy rights; or intentionally harmful code;
- attempt to compromise, damage, or gain unauthorized access to Provider devices or Offtime infrastructure;
- are designed to attack, disrupt, or abuse the Offtime network; or
- otherwise violate these Terms.
Offtime may reject, suspend, or remove workloads that we believe violate these Terms or create a security or operational risk.
Using Offtime as a Provider
Providers may make eligible computing devices available to the Offtime network.
You must own or have authorization to operate any device you connect to Offtime.
You are responsible for ensuring that your participation complies with any applicable laws, licenses, employer policies, school policies, or other restrictions applicable to your device or network.
By connecting a device, you authorize Offtime to use the computing resources you make available for supported workloads.
You can stop sharing your device through the controls provided by Offtime.
Offtime may temporarily stop assigning workloads to a device based on factors such as availability, hardware capabilities, connectivity, device health, or network conditions.
Provider Devices and Workloads
Offtime workloads may be processed on computers operated by independent Providers.
Providers may be able to access information required to execute workloads on their devices.
Renters should therefore avoid submitting sensitive or confidential information unless Offtime specifically states that the applicable workload provides appropriate protections.
Providers must not intentionally inspect, copy, retain, disclose, or misuse workload data beyond what is reasonably necessary to execute an assigned workload.
Payments and Earnings
Certain Offtime features may require payment.
Payments and payouts may be processed through third-party payment providers, including Stripe and Stripe Connect.
Renters agree to pay the charges presented by Offtime for completed or otherwise billable workloads.
Providers may receive earnings for eligible computing resources and completed workloads according to the rates and rules displayed by Offtime.
Offtime may adjust, withhold, reverse, or investigate payments or earnings where reasonably necessary to address refunds, fraud, abuse, failed workloads, duplicate transactions, disputes, or other payment issues.
Payment and payout availability may depend on the requirements of our payment providers.
Workload Results
Offtime does not guarantee that workload results will be:
- accurate;
- complete;
- error-free;
- uninterrupted; or
- suitable for a particular purpose.
You are responsible for independently evaluating results before using them for important decisions or applications.
Availability
We are continuously developing Offtime.
The Service may occasionally be unavailable, delayed, interrupted, or changed.
We do not guarantee that Offtime or any particular computing resource will always be available.
Provider devices may disconnect, become unavailable, lose power, experience connectivity issues, or otherwise fail to complete workloads.
Prohibited Activities
You may not use Offtime to:
- violate any applicable law;
- interfere with the Service or its infrastructure;
- attack or compromise another computer or network;
- distribute malware;
- perform unauthorized security testing;
- abuse or circumvent workload, account, or rate limits;
- attempt to access another user's data;
- reverse engineer or interfere with security mechanisms;
- use Offtime to facilitate fraud or other illegal activity; or
- use the Service in a way that could reasonably harm Offtime, its users, or participating devices.
We may suspend or terminate accounts and workloads that violate these restrictions.
Intellectual Property
Offtime and its software, branding, interfaces, designs, and underlying technology are owned by Offtime or its licensors and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of Offtime's intellectual property to you.
You retain ownership of the data and content you submit to Offtime, subject to the rights necessary for us and participating Providers to operate the Service.
Suspension and Termination
You may stop using Offtime at any time.
We may suspend or terminate your account or restrict access to the Service if:
- you violate these Terms;
- your activity creates a security or operational risk;
- we reasonably suspect fraud or abuse;
- required by law; or
- we otherwise need to protect Offtime or its users.
When reasonably possible, we may provide notice before taking action.
Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFTIME DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND RELIABILITY.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFTIME WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFTIME'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO OFFTIME DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Offtime and its officers, directors, employees, and representatives from claims, damages, losses, liabilities, and expenses arising from:
- your violation of these Terms;
- your misuse of the Service;
- the data or workloads you submit;
- your violation of another person's rights; or
- your violation of applicable law.
Changes to Offtime
Offtime may modify, suspend, or discontinue parts of the Service at any time as we continue developing the platform.
We may also update these Terms from time to time. If we make material changes, we will update the date at the top of this page and may provide additional notice where appropriate.
Your continued use of Offtime after an updated version becomes effective means you accept the updated Terms.
Governing Law
Offtime intends to operate as a Delaware-based U.S. company.
These Terms will be governed by the laws applicable to the company and its operations, without regard to conflict-of-law principles, once the applicable legal entity and governing jurisdiction have been established.
